Terms and Conditions

These Terms and Conditions ("Agreement") are entered into between the individual or company registering this account ("Client") and XPStudios, LLC ("Designer") on the date the first payment is received from the Client. This Agreement outlines the terms and conditions for the provision of web design services by the Designer to the Client.

  1. Scope of Work The Designer agrees to provide web design services to the Client, which will include:
  • Installation & Setup of the website on the Client's hosting platform
  • Template Layout Design of the website
  • Email Support for the website
  • Optimization of the website for speed and search engine optimization (SEO)
  • Uptime Monitoring of the website
  • Daily Website Backups
  • Logo Design
  • Business Card Design
  • Online Support
  • 1 Month Free Hosting on XPStudios, LLC,s server
  • Business Email
  • Updates 
  • Shopping Cart
  • Social Media Branding
  • Unlimited Store Staff
  • Unlimited Products
  • Unlimited Registers
  • Inventory Management
  • Hosting of the website on XPStudios, LLC's server
  • Maintenance of the website, which includes regular updates and security checks
  1. Payment Terms The Client agrees to pay XPStudios, LLC the total amount of $3599 for the first month, which includes the cost of web design services. Subsequently, the Client agrees to pay XPStudios, LLC the amount of $197.99 per month for hosting and maintenance services, plus any applicable payment processing fees. Full payment is required upon acceptance of this Agreement, unless otherwise discussed. The payment may be split into multiple payments if agreed upon by both parties.

  2. Delivery Timeline XPStudios, LLC agrees to deliver the website within 4 weeks of receiving payment from the Client, provided that all necessary materials and information have been provided by the Client in a timely manner.

  3. Revisions and Approval XPStudios, LLC agrees to make up to 5 revisions to the website design based on feedback from the Client. The Client agrees to provide timely feedback and approval throughout the design process to ensure timely completion of the project. Any additional revisions beyond the initial 5 will be subject to an additional charge of $150 per hour for work performed.

  4. Termination Either party may terminate this Agreement at any time by providing written notice to the other party. In the event of termination, the Client will pay XPStudios, LLC for any services rendered up to the date of termination.

  5. Ownership and Intellectual Property XPStudios, LLC grants the Client a non-exclusive, non-transferable license to use the website design upon completion of the project. XPStudios, LLC retains ownership of all intellectual property rights in the website design.

  6. Confidentiality Both parties agree to maintain the confidentiality of all information shared during the project, including but not limited to content, design concepts, and business information.

  7. Limitation of Liability XPStudios, LLC shall not be held liable for any damages arising from the use of the website or any errors or omissions in the website design. XPStudios, LLC's liability shall be limited to the total amount paid by the Client for the services outlined in this Agreement.

  8. Governing Law and Jurisdiction This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, USA. Any disputes arising from this Agreement shall be resolved in the courts of the Commonwealth of Virginia.

  9. Acceptance of Terms By registering this account and making payment, the Client, whether it is an individual or a company, agrees to all terms and conditions outlined herein, as well as to our website Terms of Service.

IN WITNESS WHEREOF, the parties have executed this Agreement as of the date first written above.
